These Terms and Conditions (“Terms”) are entered into by and between you and Jen Wilson International, LLC (“Jen Wilson International,” “Company,” “we,” “us,” or “our”).
These Terms govern your access to and use of jenrwilson.com and any related websites, webpages, digital platforms, content, resources, programs, products, coaching services, workshops, events, assessments, downloads, and other services provided by Jen Wilson International (collectively, the “Website” and “Services”).
Please read these Terms carefully before using the Website or purchasing or participating in any of our Services.
By accessing or using the Website, purchasing a product or service, submitting an application or registration, or otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms and any policies incorporated into them by reference.
If you do not agree to these Terms, you should not access or use the Website or Services.
1. Eligibility
The Website and Services are intended for individuals who are at least eighteen (18) years old and legally capable of entering into a binding agreement.
By accessing the Website or purchasing or participating in our Services, you represent that you meet these requirements.
If you are accessing or purchasing Services on behalf of a company, nonprofit organization, government entity, or other organization, you represent that you have authority to bind that organization to the applicable agreement.
2. Changes to These Terms
We may modify these Terms from time to time.
Any changes will become effective when the revised Terms are posted on the Website unless otherwise stated.
Your continued use of the Website after revised Terms are posted constitutes your acceptance of the updated Terms.
We encourage you to review this page periodically.
3. Privacy
Your use of the Website is also subject to our Privacy Policy.
Our Privacy Policy explains how we collect, use, store, and protect information you provide through the Website and our Services.
By using the Website, you consent to our handling of information in accordance with our Privacy Policy.
4. Website Access and Account Security
We reserve the right to modify, suspend, discontinue, restrict, or withdraw any portion of the Website or its functionality at any time.
We do not guarantee that the Website, client portals, course platforms, scheduling systems, payment systems, or other digital services will always be available or uninterrupted.
Certain Services may require you to create an account or receive login credentials.
You agree to:
Provide accurate, current, and complete information;
Maintain the confidentiality of your login information;
Not share access to paid programs, courses, materials, or client portals with unauthorized individuals;
Notify us promptly if you become aware of unauthorized access to your account; and
Accept responsibility for activity conducted through your account.
We reserve the right to suspend or terminate access when we reasonably believe an account has been compromised, shared without authorization, or used in violation of these Terms.
5. Intellectual Property Rights
Unless otherwise stated, the Website and its contents are owned by or licensed to Jen Wilson International and are protected by applicable copyright, trademark, and other intellectual property laws.
This includes, without limitation:
Written content;
Coaching frameworks;
Leadership methodologies;
Assessments and assessment materials;
Worksheets;
Workbooks;
Templates;
Training materials;
Presentation slides;
Videos;
Audio recordings;
Graphics;
Images;
Logos;
Program names;
Course materials;
Exercises;
Facilitation tools;
Digital downloads;
Processes;
Curriculum;
Website design; and
Other proprietary materials.
Your purchase of or participation in a Jen Wilson International program does not transfer ownership of our intellectual property to you.
Unless we provide express written permission, you may not copy, reproduce, republish, upload, post, publicly display, distribute, sell, sublicense, modify, create derivative works from, teach, commercially exploit, or otherwise use our intellectual property outside of the limited rights granted under these Terms.
6. Limited Personal and Internal Business License
When you purchase, receive, or download materials from Jen Wilson International, we grant you a limited, revocable, non-exclusive, non-transferable license to use those materials for your own personal development or authorized internal business use.
You may not:
Resell our materials;
Distribute them to individuals who have not purchased or been authorized to receive them;
Upload them to public websites or shared databases;
Repackage them as your own product, course, program, training, or methodology;
Use our materials to create a substantially similar competing product or program;
Remove copyright, trademark, or attribution notices; or
Provide another person with access to a paid program through your individual account.
Corporate, organizational, or team engagements may have separate licensing terms contained in the applicable proposal, statement of work, service agreement, or contract.
Those terms will control if they conflict with this section.
7. Educational and Informational Purposes
Content available through the Website and certain educational programs is provided for educational, informational, leadership-development, and professional-development purposes.
Nothing available through the Website should be interpreted as individualized legal, medical, mental-health, financial, accounting, tax, investment, or other regulated professional advice.
You are responsible for consulting an appropriately licensed professional regarding matters requiring professional advice specific to your circumstances.
8. Coaching Disclaimer
Coaching is a collaborative professional development process designed to support reflection, clarity, awareness, goal development, decision-making, leadership growth, and action.
Coaching is not therapy, counseling, psychiatry, medical care, legal advice, financial advice, or any other licensed healthcare or professional service unless expressly stated otherwise in writing.
Jen Wilson International does not diagnose or treat mental-health conditions.
You remain responsible for your own decisions, actions, wellbeing, professional choices, organizational decisions, and results.
If you are experiencing a medical or mental-health emergency, you should contact an appropriate licensed healthcare provider or emergency service.
Individual coaching engagements may also be governed by a separate coaching agreement. If the coaching agreement and these Terms conflict regarding the coaching relationship, the specific coaching agreement will control.
9. Organizational and Corporate Services
Jen Wilson International provides services that may include executive coaching, leadership development, team coaching, corporate programs, nonprofit programs, facilitation, workshops, consulting, speaking engagements, assessments, and related professional-development services.
Specific deliverables, schedules, fees, confidentiality requirements, intellectual-property rights, cancellation provisions, travel requirements, and other terms for organizational engagements may be outlined in a separate proposal, contract, statement of work, or service agreement.
Where a separate agreement exists, that agreement will govern the applicable engagement if its provisions conflict with these Website Terms.
10. No Guarantees Regarding Results
Jen Wilson International is committed to delivering high-quality coaching, leadership development, facilitation, and educational experiences.
However, we cannot and do not guarantee any specific personal, professional, organizational, financial, career, leadership, business, or other result.
Your results depend upon numerous factors, including your participation, implementation, circumstances, decisions, team environment, organization, available resources, and factors outside our control.
Testimonials, case studies, examples, or stories appearing on the Website represent individual experiences.
They are not guarantees that you will achieve identical or similar results.
11. Personal Responsibility
By using the Website or participating in our Services, you acknowledge that you are responsible for evaluating information and deciding whether and how to apply it.
You agree to use reasonable judgment and, when appropriate, obtain advice from qualified professionals before making significant business, employment, legal, financial, health, organizational, or personal decisions.
You accept responsibility for the consequences of your decisions and actions.
12. Confidentiality in Coaching and Group Programs
We recognize that trust and confidentiality are important components of effective coaching and leadership development.
Confidentiality obligations applicable to individual coaching relationships may be described more fully in a separate coaching or service agreement.
Group coaching programs, cohorts, workshops, masterminds, and similar experiences may involve participants sharing personal, professional, organizational, or sensitive information.
By participating in these experiences, you agree to respect the privacy and confidentiality of other participants.
You may not disclose another participant's confidential information, personal story, organizational information, comments, experiences, or identifying details outside the program without that participant's express permission.
While Jen Wilson International establishes expectations intended to promote a respectful and confidential environment, we cannot guarantee that another participant will comply with those expectations.
You should therefore use appropriate judgment when deciding what information to share in a group environment.
13. Your Leadership Edge Confidentiality
Your Leadership Edge is intended to be a confidential, high-trust leadership-development experience.
Participants are expected to respect the confidentiality of information shared by other cohort members during group sessions, discussions, exercises, and related program activities.
Information shared by another participant should not be recorded, copied, distributed, publicly discussed, or disclosed outside the cohort without that person's permission.
Jen Wilson International may remove a participant from the program if the participant engages in behavior that materially violates confidentiality, disrupts the cohort, harasses another participant, or otherwise undermines the safety or integrity of the program.
14. Programs, Courses, Workshops, and Paid Materials
Jen Wilson International may offer paid:
Coaching programs;
Leadership programs;
Cohort experiences;
Workshops;
Training programs;
Assessments;
Courses;
Events;
Digital resources;
Templates;
Workbooks;
Recordings; and
Other educational materials.
Unless otherwise expressly stated in writing, your purchase provides access only to the individual or organization identified at the time of purchase.
Program materials may not be shared, reproduced, distributed, sold, published, or provided to others without written authorization.
We may update or modify program materials, curriculum, facilitators, delivery methods, technology platforms, session schedules, or other program elements when reasonably necessary while preserving the material purpose of the program.
15. Free Resources and Downloadable Content
We may offer free guides, worksheets, assessments, newsletters, templates, checklists, or other downloadable content.
Unless otherwise stated, these resources are provided for your personal or authorized internal business use only.
Providing a free resource does not transfer ownership of our intellectual property to you.
Free materials may not be sold, redistributed, republished, or used to create competing commercial materials without written permission.
16. Assessments and Assessment Tools
Some Services may include leadership, strengths, team, behavioral, professional-development, or other assessments.
Assessment results are intended to facilitate reflection, conversation, development, and coaching.
Unless expressly stated otherwise, assessments provided through Jen Wilson International should not be interpreted as clinical diagnoses, psychological diagnoses, employment-selection tools, medical assessments, or guarantees regarding a person's abilities or future performance.
Certain assessment tools may be owned or administered by third-party providers and may be subject to additional terms imposed by those providers.
17. Payments
Prices for Services will be stated on the applicable sales page, proposal, invoice, checkout page, agreement, or registration page.
By purchasing a Service, you authorize Jen Wilson International and its third-party payment processors to charge the payment method you provide for the amount due.
You agree to provide accurate billing and payment information.
When you select a payment plan, you authorize us to charge each installment according to the payment schedule presented at the time of purchase.
A payment plan is a method of paying the full purchase price over time and does not constitute a month-to-month subscription unless expressly stated otherwise.
Unless otherwise required by law or provided in the applicable program terms, you remain responsible for all agreed installments even if you stop participating in the program.
18. Failed and Past-Due Payments
If a payment is declined, reversed, disputed, or otherwise unsuccessful, we may attempt to process the payment again or contact you to update your payment information.
We may temporarily suspend access to programs, materials, coaching sessions, communities, or other Services while an account remains past due.
You remain responsible for amounts properly owed under your purchase agreement.
19. Refund and Cancellation Policies
Refund and cancellation policies may vary depending on the Service purchased.
The refund or cancellation policy displayed on the applicable sales page, checkout page, proposal, service agreement, or program-specific terms at the time of purchase will govern that purchase.
Except where a refund right is specifically provided or required by applicable law, purchases are considered final once Services or program access have begun.
Your Leadership Edge Right-Fit Promise
Your Leadership Edge is an intentional, high-touch cohort experience intended for leaders who are ready to actively participate in the program.
If you:
Complete the required pre-work;
Participate in the first facilitated group session; and
Determine that Your Leadership Edge is not the right fit,
you may request a refund within five (5) days fllowing thoe first facilitated group session.
Approved refunds under the Right-Fit Promise will be issued minus a $75 processing fee.
Requests received outside this period or from participants who have not satisfied the eligibility requirements above may not qualify for the Right-Fit Promise.
Any additional or updated refund terms displayed on the Your Leadership Edge enrollment page or enrollment agreement at the time of purchase will govern that enrollment.
Organizational Engagements
Corporate, nonprofit, consulting, workshop, speaking, facilitation, and other organizational engagements may have separate cancellation, rescheduling, deposit, and refund terms contained in the applicable contract or proposal.
Those terms will control.
20. Effect of a Refund or Cancellation
When a purchase is refunded or program access is cancelled, any license granted to you for associated paid materials may terminate.
You may be required to discontinue use of and delete or destroy program materials, recordings, downloads, workbooks, templates, course content, or other proprietary resources provided as part of the refunded purchase.
21. Scheduling, Rescheduling, and Missed Sessions
Coaching sessions, consultations, workshops, facilitation sessions, and other appointments may be subject to scheduling and cancellation requirements communicated during booking or in your applicable service agreement.
Clients and participants are responsible for attending scheduled sessions at the correct date and time, including accounting for differences in time zones.
When advance notice requirements apply, sessions cancelled or missed outside the permitted cancellation window may be forfeited or treated as delivered.
Specific coaching and organizational agreements may contain additional scheduling provisions that supersede this section.
22. Events, Workshops, and Speaking Engagements
In-person and virtual events may be modified, postponed, rescheduled, relocated, or cancelled due to circumstances reasonably outside our control, including illness, emergencies, venue issues, travel disruptions, severe weather, technology failures, government requirements, or other force majeure events.
Where appropriate, Jen Wilson International may substitute a facilitator, adjust the delivery format, reschedule the experience, provide an alternative service, or issue a credit or refund according to the applicable agreement.
We are not responsible for participant travel, lodging, transportation, meals, lost wages, or other third-party expenses unless expressly agreed in writing.
23. Electronic Communications
By visiting the Website, submitting a form, registering for a Service, or communicating with us electronically, you consent to receive transactional communications electronically.
These may include:
Registration confirmations;
Appointment confirmations;
Program information;
Payment receipts;
Scheduling notices;
Contractual notices;
Service updates; and
Other communications related to your interaction with Jen Wilson International.
Where you separately consent to marketing communications, we may also send newsletters, educational content, announcements, and promotional messages.
You may unsubscribe from marketing emails using the unsubscribe link provided in those communications.
Unsubscribing from marketing messages may not prevent us from sending necessary transactional or service-related communications.
24. SMS and Text Communications
If Jen Wilson International offers text-message communications and you voluntarily opt in, you consent to receive text messages related to the purpose disclosed when you enroll.
Message frequency may vary. Standard message and data rates may apply.
You may opt out of promotional text messages at any time by following the instructions provided in those messages.
Consent to receive promotional text messages is not a condition of purchasing our Services unless otherwise expressly disclosed.
25. Testimonials, Feedback, and Client Stories
We appreciate feedback regarding our Services.
We will not publicly identify you as a client or use your identifiable testimonial, photograph, video, likeness, or case study for marketing purposes without permission when such permission is legally required or has otherwise been agreed upon.
If you voluntarily provide a testimonial for promotional use or expressly authorize us to use feedback, you grant Jen Wilson International the permissions described in the applicable release or authorization.
You represent that any testimonial or feedback you provide reflects your genuine experience.
26. Participant-Provided Materials
You retain ownership of original materials you submit to us, subject to any rights necessary for us to provide the Services.
For example, if you provide documents, exercises, organizational information, survey responses, or other materials as part of a coaching or consulting engagement, you authorize us to review and use those materials as reasonably necessary to perform the engagement.
You represent that you have the right to provide such materials and that our authorized use of them will not violate another person's rights.
27. Community and Group Conduct
Programs may include online communities, group sessions, cohort discussions, chat spaces, or other opportunities for participants to interact.
You agree not to:
Harass, threaten, intimidate, or abuse others;
Discriminate against or demean others;
Share another participant's confidential information;
Post unlawful, defamatory, obscene, or infringing content;
Promote unrelated products or services without authorization;
Collect another participant's contact or personal information for unsolicited marketing;
Upload malicious software or harmful files;
Impersonate another individual;
Disrupt sessions or communities;
Record sessions without authorization; or
Use program spaces for purposes unrelated to the intended program.
We may remove content or restrict or terminate participation when reasonably necessary to protect participants, Jen Wilson International, or the integrity of the program.
28. Recording of Sessions
Certain workshops, webinars, group programs, training sessions, or events may be recorded.
When a session is recorded, participants will be notified when reasonably appropriate.
Recordings may be made available to eligible program participants.
Participants may not independently record private coaching sessions, group sessions, workshops, or other Services without prior permission from Jen Wilson International and, when applicable, all other participants.
Any use of recordings for public marketing purposes will be subject to applicable consent and release requirements.
29. Third-Party Platforms and Services
Jen Wilson International may use third-party companies and technology providers for services such as:
Payment processing;
Email communications;
Website hosting;
Scheduling;
Video conferencing;
Customer relationship management;
Assessments;
Forms;
Surveys;
Digital course delivery; and
Other operational functions.
Your use of these services may also be subject to the applicable provider's terms and privacy practices.
While we carefully select service providers, we do not control third-party platforms and are not responsible for outages, security incidents, policy changes, errors, or other actions attributable solely to those third parties to the fullest extent permitted by law.
30. Links to Third-Party Websites
The Website may contain links to websites or resources operated by third parties.
These links are provided for convenience or informational purposes.
We do not control those websites and are not responsible for their content, availability, security, privacy practices, products, or services.
The presence of a third-party link does not necessarily constitute an endorsement.
31. Prohibited Uses
You may not use the Website or Services:
For unlawful purposes;
To violate another person's intellectual-property, privacy, contractual, or other legal rights;
To attempt unauthorized access to our Website, systems, accounts, or data;
To introduce malware, viruses, bots, scraping tools, or harmful technology;
To interfere with Website functionality;
To harvest personal information;
To misrepresent your identity;
To improperly share or redistribute paid content;
To engage in fraudulent payment disputes or chargebacks; or
In any other manner reasonably determined to compromise the security, integrity, or lawful operation of the Website or Services.
32. Artificial Intelligence and Automated Use
Unless expressly authorized in writing, you may not systematically scrape, harvest, reproduce, or ingest proprietary Jen Wilson International materials for the purpose of training, fine-tuning, developing, or commercially operating an artificial-intelligence model, machine-learning system, content-generation system, database, or competing product.
This restriction does not prohibit ordinary personal use of lawful tools to assist you in implementing your own learning, provided that doing so does not involve publishing, distributing, transferring, or commercially exploiting our proprietary materials.
33. Website Accuracy
We make reasonable efforts to provide accurate and current information.
However, the Website may occasionally contain typographical errors, outdated information, pricing errors, broken links, scheduling inaccuracies, or other mistakes.
We reserve the right to correct errors, update information, or modify Website content at any time.
If an error materially affects a purchase you have already made, we will address it in a reasonable manner consistent with applicable law.
34. No Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
JEN WILSON INTERNATIONAL MAKES NO WARRANTY THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS.
EXCEPT FOR WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED, WE DISCLAIM EXPRESS AND IMPLIED WARRANTIES RELATING TO THE WEBSITE AND GENERAL WEBSITE CONTENT.
Nothing in this section eliminates obligations expressly provided in a separate written service agreement.
35. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JEN WILSON INTERNATIONAL, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, FACILITATORS, COACHES, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES.
THIS MAY INCLUDE, WITHOUT LIMITATION, LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES.
TO THE EXTENT PERMITTED BY LAW, JEN WILSON INTERNATIONAL'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PAID SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO JEN WILSON INTERNATIONAL FOR THAT SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain liability exclusions. In those jurisdictions, these limitations will apply only to the maximum extent permitted by law.
36. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Jen Wilson International, LLC and its owners, employees, contractors, coaches, facilitators, agents, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising from:
Your unlawful use of the Website or Services;
Content or materials submitted by you;
Your violation of these Terms;
Your infringement of another person's rights; or
Your violation of applicable law.
This section does not require you to indemnify Jen Wilson International for liabilities caused solely by its own unlawful conduct where such indemnification would be prohibited by law.
37. Termination of Access
We reserve the right to suspend or terminate your access to the Website, communities, program platforms, or Services if you materially violate these Terms, fail to make required payments, infringe our intellectual property, compromise the confidentiality or safety of other participants, or engage in unlawful or materially disruptive conduct.
Where reasonable under the circumstances, we may provide notice and an opportunity to correct the issue before termination.
Termination does not eliminate payment obligations that accrued before termination or rights and obligations that are intended to survive termination.
38. Force Majeure
Jen Wilson International will not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, severe weather, public-health emergencies, acts of government, war, civil unrest, labor disruptions, transportation interruptions, widespread technology outages, internet outages, venue closures, or other similar events.
When reasonably possible, we will make good-faith efforts to reschedule, provide an alternative method of delivery, or otherwise address the affected Service.
39. International Users
Jen Wilson International operates from the United States.
If you access the Website or participate in Services from another country, you are responsible for complying with laws applicable to you.
You may not use the Website or Services in a manner prohibited by applicable laws or regulations.
40. No Employment, Partnership, or Agency Relationship
Your use of the Website or participation in a program does not create an employment relationship, joint venture, partnership, franchise, fiduciary relationship, or agency relationship between you and Jen Wilson International.
Nothing in our coaching or educational relationship gives Jen Wilson International authority to make decisions or commitments on your behalf unless expressly agreed in writing.
41. Governing Law
These Terms and any dispute arising from or relating to the Website will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Program-specific contracts, corporate engagements, coaching agreements, or other written agreements may contain different governing-law provisions, in which case the terms of that agreement will control.
42. Dispute Resolution
Before initiating formal legal proceedings relating to these Terms or the Website, the parties agree to make a good-faith effort to resolve the dispute informally.
A party seeking resolution should provide written notice describing the dispute and requested resolution.
If the dispute cannot be resolved informally, the parties agree that disputes may be submitted to confidential mediation before pursuing other remedies, where mutually agreed or required by an applicable service agreement.
Any mandatory arbitration requirements applicable to a particular coaching, corporate, consulting, or program engagement should be contained in the applicable written agreement.
Nothing in this section prevents either party from seeking relief in small claims court where permitted or requesting emergency injunctive relief regarding misuse of intellectual property, confidential information, or unauthorized system access.
43. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable where possible.
The remaining provisions will remain in full force and effect.
44. Waiver
Failure by Jen Wilson International to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision in the future.
45. Entire Agreement
These Terms, together with any Privacy Policy, applicable Disclaimer, checkout terms, program-specific terms, signed coaching agreement, proposal, statement of work, or other agreement incorporated by reference, constitute the applicable agreement between you and Jen Wilson International regarding the subject matter they cover.
If a separate signed agreement conflicts with these general Website Terms, the separate signed agreement will control with respect to that Service.
46. Changes to Programs and Services
Jen Wilson International continually develops and improves its offerings.
We reserve the right to modify the name, format, curriculum, content, schedule, technology platform, facilitators, resources, or delivery method of a Service when reasonably necessary.
We will not intentionally make changes that materially deprive a purchaser of the core service promised at the time of purchase without providing an appropriate alternative or remedy.
